The terms governing your use of the Accuprime Financial Partners website and the engagement of our accounting, bookkeeping, and advisory services.
These Terms of Service ("Terms") constitute a legally binding agreement between you and Accuprime Financial Partners LLC, an Illinois limited liability company ("Accuprime," "we," "us," or "our"). These Terms govern your use of the website at accuprimefinancials.com (the "Site") and any communication or interaction with Accuprime in connection with the consideration or engagement of our services.
Engagement of services is further governed by a separate written engagement letter executed by both parties. In the event of a conflict between these Terms and an engagement letter, the engagement letter controls for matters relating to the specific engagement.
By using the Site or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site or engage our services.
Accuprime provides the following categories of services to business clients:
The specific scope, deliverables, and timeline of each engagement are defined in the executed engagement letter for that engagement.
Each engagement begins with a discovery consultation, after which Accuprime provides a written engagement letter. The engagement letter sets forth the scope of work, fees, deliverables, timeline, and other terms specific to the engagement. No engagement is binding on either party until the engagement letter is signed by both parties.
Changes to scope, deliverables, or fees during an engagement require a written amendment to the engagement letter, signed by both parties.
Accuprime offers tiered monthly engagements (Tier 01 through Tier 04) and project-based engagements at fixed fees. The applicable fees for each engagement are stated in the engagement letter. Tier pricing displayed on the Site is indicative; final pricing is set forth in your engagement letter.
Monthly retainer fees are billed in advance at the beginning of each engagement period. Project fees are billed according to the milestone schedule in the engagement letter. Invoices are due within fifteen (15) days of issuance unless otherwise specified. Late payments may accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by law.
Engagements may include a one-time onboarding fee to cover initial setup, system review, or cleanup work. Onboarding fees are disclosed in the engagement letter prior to commencement of work.
Reasonable out-of-pocket expenses incurred in the course of an engagement (such as third-party software fees you have authorized us to procure on your behalf, travel for in-person meetings if applicable, and similar items) are billed in addition to fees and require pre-approval where they exceed amounts specified in the engagement letter.

Accuprime relies on the information provided by you and is not responsible for inaccuracies arising from incomplete or incorrect information furnished by you or third parties on your behalf.
Accuprime maintains strict confidentiality regarding client information consistent with professional standards. Information shared with us in connection with an engagement is treated as confidential and is not disclosed except as necessary to perform the engagement, as required by law, or with your written authorization. See our Privacy Policy for additional details on how we handle information.
You similarly agree to keep confidential any proprietary methods, templates, software, or intellectual property developed by Accuprime in the course of an engagement, except as necessary to receive the benefit of the services.
Accuprime is not a Certified Public Accounting (CPA) firm and does not perform attest services (such as audits, reviews, or compilations under AICPA Statements on Standards for Accounting and Review Services). Our services are non-attest accounting, bookkeeping, financial reporting, and advisory services. If you require attest services, we will refer you to a qualified CPA partner or you may engage one independently. Accuprime can serve as a coordination point with your CPA but does not perform the attest function itself.
Tax preparation services, where included in an engagement, are provided by qualified personnel as appropriate to the engagement. Tax matters of significant complexity may be referred to a CPA tax preparer. Information provided by Accuprime regarding tax matters is for general informational purposes and is not a substitute for advice from a qualified tax professional engaged for that purpose.
Accuprime does not provide legal advice. Information provided regarding contracts, employment matters, regulatory compliance, or similar topics is operational rather than legal in nature. You should consult qualified legal counsel for legal advice.
All content on the Site, including text, graphics, logos, images, and software (including custom platforms developed by Accuprime such as FluxWage), is the property of Accuprime or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
Where an engagement includes custom software development, ownership and licensing terms are set forth in the engagement letter. By default, Accuprime retains ownership of underlying frameworks, methodologies, and reusable components, while granting the client a license to use the deployed system for the client's business purposes.
You retain ownership of all data, financial records, and business information you provide to Accuprime. You grant Accuprime a limited license to access, process, and use such information solely to deliver the services.
Accuprime warrants that services will be performed with the care, skill, and diligence reasonably expected of a professional accounting and advisory firm. Accuprime makes no other warranties, express or implied. Services are otherwise provided "as is" without warranty of any kind. Accuprime does not warrant uninterrupted website availability, error-free operation, or specific business outcomes from advisory services.
To the maximum extent permitted by law, Accuprime's aggregate liability for any claim arising from or related to an engagement shall not exceed the total fees paid by the client to Accuprime for the specific engagement giving rise to the claim during the twelve (12) months preceding the claim.
In no event shall Accuprime be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of business, loss of data, or business interruption, regardless of the theory of liability and even if Accuprime has been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of these limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Accuprime, its members, employees, and affiliates from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your breach of these Terms or an engagement letter; (b) your violation of applicable law; (c) the inaccuracy of information you provide; or (d) your tax, regulatory, or operational decisions, including those informed by our advice but ultimately implemented by you.
Standard monthly engagements may be terminated by either party with thirty (30) days' written notice. Project engagements may be terminated as set forth in the engagement letter. Upon termination, you remain obligated to pay fees for services rendered through the effective termination date and any non-cancellable third-party costs.
Accuprime may suspend or terminate services immediately for material breach, non-payment beyond sixty (60) days, or where continuation would violate professional or legal obligations. Upon termination, Accuprime will return or transition client records consistent with professional standards and applicable law.
These Terms and any engagement letter are governed by the laws of the State of Illinois, United States, without regard to conflict-of-laws principles. The parties agree to attempt in good faith to resolve any dispute through direct negotiation. If the dispute is not resolved within thirty (30) days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Chicago, Illinois, and the arbitrator's decision shall be final and binding.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.
These Terms, together with the applicable engagement letter and Privacy Policy, constitute the entire agreement between you and Accuprime regarding the subject matter and supersede prior agreements.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
No waiver of any provision of these Terms is effective unless in writing and signed by the waiving party. A waiver of any breach is not a waiver of any subsequent breach.
You may not assign your rights or obligations under these Terms or an engagement letter without our prior written consent. Accuprime may assign its rights and obligations in connection with a sale, merger, or restructuring of its business.
Notices to Accuprime must be sent in writing to the contact information below. Notices to you may be sent to the email address or business address provided in the engagement letter.
We may update these Terms from time to time. The updated Terms will be posted on the Site with a revised "Last Updated" date. Continued use of the Site or services after any update constitutes acceptance of the updated Terms. Material changes affecting active engagements will be communicated directly.
